The supervisory and executive boards of BoConcept Holding A/S (BoConcept) regularly review matters relating to good corporate governance and the company's interaction with its stakeholders. The OMX Nordic Exchange's Good Corporate Governance Recommendations, combined with current legislation and the guidelines stipulated by the supervisory board of BoConcept, are the yardstick for this work.

 

The supervisory and executive boards are of the opinion that BoConcept is in compliance with the intentions of the Recommendations. The Recommendations specify that it is just as legitimate to explain company attitudes as it is to follow a specific recommendation. The important thing is to create transparency concerning the company's management. The supervisory and executive boards of BoConcept concur in these views.

 

Please find below an outline of BoConcept's corporate governance policy, most recently updated in connection with the adoption of the company's 2007/2008 annual report. The outline follows the structure provided in the OMX Nordic Exchange's Good Corporate Governance Recommendations dated 15 August 2005 as amended on 6 February 2008.
