In order to be able to attract and retain the right members in the supervisory and executive boards of BoConcept Holding it is the company's policy that the total remuneration for the management is to be competitive and fair, taking into account the company's international operations, geographical location and listing on the OMX Nordic Exchange.

 

The remuneration of members of the supervisory and executive boards consists of both fixed and incentive-based elements. The fees paid to supervisory board members are approved by the annual general meeting of BoConcept Holding while the total compensation package for executive board members is approved by the supervisory board upon the chairman's recommendation.

 

The guidelines for the remuneration of the supervisory and executive boards are outlined below. For additional particulars concerning the remuneration of the supervisory and executive boards, incentive schemes and shareholdings, please refer to note 3 in the consolidated financial statements 2007/2008.

 

Directors' emoluments in BoConcept Holding A/S

The remuneration of the supervisory board members in BoConcept Holding consists of up to two components: a fixed basic director's fee and a long-term incentive scheme.

 

Members of the supervisory board of BoConcept Holding receive a fixed annual fee for their regular work. The chairman receives twice the basic fee and the deputy chairman receives 1.5 times the basic fee. In addition, supervisory board members are eligible for participation in the company's long-term incentive schemes, i.e. the warrant scheme.

 

Remuneration of executive board members in BoConcept Holding A/S

The total compensation package of the executive board members in BoConcept Holding consists of up to five components: a fixed base salary, non-monetary benefits, pension scheme, short-term incentive schemes and long-term incentive schemes.

 

- A fixed base salary

- Non-monetary benefits (company car, telephone, newspapers)

- Pension

- Short-term incentive schemes (bonus scheme)

- Long-term incentive schemes (share options and/or warrants)

 

No special notice periods or severance schemes apply to executive board members. Individual members of the executive board have a severance notice of twelve months, when given notice of dismissal by BoConcept Holding.
